1. Parties

This Non-Disclosure Agreement ("Agreement") is entered into between Mineral Eagle ("Disclosing Party") and the individual or entity signing below ("Receiving Party"). Effective as of the date of electronic signature below.

2. Confidential Information

Confidential Information means any non-public information disclosed by the Disclosing Party to the Receiving Party, whether oral, written, or visual, including but not limited to: mineral ownership records and datasets, data-sourcing and matching methods, lead-scoring logic, software and product features, screen contents shown during demonstrations, pricing, roadmaps, and business plans.

3. Obligations

The Receiving Party shall (a) hold the Confidential Information in strict confidence, (b) use it solely to evaluate a potential business relationship with the Disclosing Party, (c) not disclose it to any third party without prior written consent, and (d) protect it with at least the same degree of care it uses for its own confidential information, and no less than reasonable care.

4. Exclusions

Confidential Information does not include information that (a) is or becomes public through no fault of the Receiving Party, (b) was lawfully known to the Receiving Party before disclosure, (c) is independently developed without use of the Confidential Information, or (d) is compiled from public county, state, or federal records by the Receiving Party independently of the Disclosing Party.

5. Compelled Disclosure

If the Receiving Party is legally compelled to disclose Confidential Information, it shall give the Disclosing Party prompt written notice (where lawful) and reasonable cooperation so the Disclosing Party may seek a protective order.

6. Term

This Agreement begins on the signature date and the confidentiality obligations survive for three (3) years thereafter.

7. Return or Destruction

Upon the Disclosing Party’s written request, the Receiving Party shall promptly return or destroy all Confidential Information and copies in its possession.

8. No License; No Obligation

No license or ownership right is granted by this Agreement. Nothing herein obligates either party to enter into any further agreement or transaction.

9. Governing Law

This Agreement is governed by the laws of the State of Texas, without regard to its conflict-of-laws rules.

10. Electronic Signature

The parties agree this Agreement may be executed electronically. Typing your name in the signature field and clicking “Sign the NDA” constitutes your electronic signature under the U.S. ESIGN Act and applicable UETA, with the same legal effect as a handwritten signature.
